                        القسم الأول: أحكام عامة

1.1. مقدمة ونطاق الاتفاقية

مرحباً بكم في منصة نيبو جو ("المنصة"، "نحن"، "لنا"، أو "التطبيق").
تشكل هذه الوثيقة ("الشروط") اتفاقية ملزمة قانوناً بينكم
("المستخدم"، "العميل"، أو "أنتم") ومشغل منصة نيبو جو
("المنصة" أو "نحن").

تحكم هذه الشروط وصولك إلى تطبيق Nebo Go للهواتف المحمولة
وموقعه الإلكتروني والخدمات ذات الصلة (يُشار إليها مجتمعةً بـ"الخدمات") واستخدامك لها.
باستخدامك للخدمات، تُقرّ بأنك قد قرأت
هذه الشروط وفهمتها وتوافق على الالتزام بها دون أي تحفظ. إذا كنت لا توافق
على هذه الشروط، فلا يحق لك الوصول إلى الخدمات أو استخدامها.

1.2. طبيعة المنصة (بند المسؤولية الأساسي)

أنت تقر وتوافق صراحة على أن Nebo Go عبارة عن **
منصة وسيطة تقنية محايدة وواجهة إلكترونية** (منصة متعددة البائعين)
والغرض الوحيد منها هو ربطك بالمتاجر والمطاعم ومحلات
الجزارة ومحلات بيع الخضار والفواكه المستقلة ("البائع").

لا تمتلك المنصة المنتجات المعروضة، ولا تقوم بتصنيعها أو
تخزينها أو تغليفها أو فحصها أو ضمان جودتها أو صلاحيتها
للاستهلاك البشري.
يقتصر دورنا على ما يلي:
- تسهيل التواصل بينك وبين البائع.
- معالجة المدفوعات كوسيط.
- تنسيق خدمات التوصيل من خلال سائقينا المسجلين.

تقع مسؤولية جودة المنتجات وسلامتها وملاءمتها ومطابقتها
للوائح الصحية الألمانية بالكامل على عاتق البائع وليس على عاتق
المنصة.


                       القسم الثاني: الأهلية والتسجيل

2.1. الأهلية القانونية

باستخدامك للمنصة، فإنك تقر وتضمن ما يلي:
- أنك تبلغ من العمر 18 عامًا على الأقل.
- أنك تتمتع بالأهلية القانونية الكاملة لإبرام العقود في
  جمهورية ألمانيا الاتحادية.
- أن جميع المعلومات التي تقدمها صحيحة ودقيقة وكاملة ومحدثة.
- إذا كنت تستخدم المنصة نيابةً عن كيان قانوني، فأنت
  مخول قانونًا لإبرام هذه الشروط نيابةً عن ذلك الكيان.

2.2. إنشاء الحساب والتحقق منه

- **Email Verification:** You must activate your account via the confirmation
  link sent to your email address.
- **Phone Number Verification:** Your phone number will be verified via a
  One-Time Password (OTP) sent by SMS upon completion of your first order.

2.3. Account Security and Responsibility

You are solely responsible for maintaining the confidentiality of your login
credentials (username and password) and for all activities and orders that
occur under your account. You agree to:
- Notify us immediately of any unauthorized use of your account or any
  security breach.
- Acknowledge that all orders placed through your account are legally and
  financially binding upon you, and you may not dispute their validity on
  the grounds that you did not personally place them, unless you reported
  the breach prior to order completion.


                    SECTION THREE: ORDER PROCESS AND CONTRACT FORMATION

3.1. Invitation to Treat

The display of products, prices, images, and descriptions on the App does not
constitute a binding "Offer" under German law, but is merely an **"Invitation
to Treat"**. You make the binding offer when you click the "Place Order"
(Payment Obligation) button.

3.2. Conclusion of Contract

A binding purchase contract between you and the Vendor is concluded only upon
your receipt of the electronic **"Order Confirmation"** notification sent by
the Vendor via the Platform. Until such notification, the Vendor or the
Platform reserves the right to refuse or cancel the order without stating
reasons or incurring liability, in the following non-exhaustive cases:
- Obvious technical or human error in pricing (e.g., product listed at €0.01).
- Sudden unavailability of the product at the Vendor.
- Sudden closure of the store or inability to fulfill the order.
- Suspicion of fraudulent or illegal activity by the user.
- Unavailability of a delivery driver in the specified area.

3.3. Modification or Cancellation by the Customer

You may cancel or modify your order **free of charge** only as long as the
order is in "Pending" status and the Vendor has not started preparation. Once
the order status changes to "In Preparation", cancellation is only possible
with the Vendor's explicit consent, and you may incur a cancellation fee of
up to 100% of the order value as compensation for the Vendor's preparation
costs and consumed materials.


                    SECTION FOUR: PRICES, PAYMENT, AND COMMISSION

4.1. Prices and Taxes

All prices displayed in the App include German Value Added Tax (Umsatzsteuer/MwSt)
at the applicable statutory rate, unless expressly stated otherwise next to
the price. Platform service fees and delivery fees may be added separately
and transparently on the "Checkout" page before order completion.

4.2. Payment Methods

You may pay in cash upon delivery (where applicable and at the discretion of
the Platform and Vendor) or via electronic payment cards through certified
payment service providers (such as Stripe). By using a payment card, you
represent that you are the lawful owner of the card or authorized to use it,
and you authorize us to charge the order amount.

4.3. Collection Agency

You agree that the Platform acts as a **Collection Agent** on behalf of the
Vendor. Consequently, your financial obligation to the Vendor is deemed fully
discharged upon payment to the Platform, and the responsibility for remitting
the amount to the Vendor transfers to the Platform.

4.4. Commission (For Vendors Only)

Vendors are subject to a separate agreement with the Platform stipulating the
payment of a predetermined commission (percentage of the order value) for the
intermediary and technical services provided by the Platform.


                       SECTION FIVE: DELIVERY AND HANDOVER

5.1. Delivery Options

The Platform offers two delivery options:
- **Nebo Go Delivery:** Delivery is carried out via the Platform's registered
  fleet of drivers. In this case, the Platform is responsible for transporting
  the order from the Vendor's premises to your address. Ownership and risk of
  loss or damage to the product pass to you upon receipt from the delivery
  driver.
- **Vendor Delivery (Self-Delivery):** By selecting this option, you directly
  authorize the Vendor to deliver the order using their own means. In this
  case, the Platform is not liable for any delay, damage, or incident occurring
  during the self-delivery process.

5.2. Estimated Delivery Times

Delivery times shown in the App are **estimates only** and depend on
circumstances beyond the Platform's control (such as bad weather, traffic
congestion, Vendor workload, public holidays). The Platform shall not be
deemed in breach of contract for delays beyond the estimated time, unless
the delay exceeds 120 minutes beyond the maximum stated time.

5.3. Unsuccessful Delivery (Failed Delivery)

If you or any adult on your behalf is not present at the specified address
upon the delivery driver's arrival and after attempting to contact you via
phone or doorbell for a continuous period of 10 minutes, the Platform reserves
the right to:
- Declare the order void.
- Retain the full paid amount as a cancellation fee for delivery and
  preparation services.
- You shall have no claim to a refund or re-delivery.

5.4. Delivery Driver Responsibility

The delivery driver is responsible for the order from the moment of pickup
from the Vendor until handover to the customer. The delivery driver is not
authorized to open the order or inspect its internal contents for health
reasons. Their responsibility is limited to ensuring the external packaging
is intact.


                SECTION SIX: CANCELLATION, RETURN, AND CONSUMER RIGHTS

6.1. Statutory Right of Cancellation (Applies to Grocery and Non-Food Products)

As a consumer, you have the legal right to cancel an order for non-food
products or sealed, packaged goods (e.g., canned goods, beverages, cleaning
products) within 14 days of receipt without giving reasons, pursuant to
Section 355 of the German Civil Code (BGB).
To exercise this right:
- The product must be in its original condition, unused, and in its original
  packaging.
- A clear statement of cancellation must be sent to our support email.
- The maximum legal cancellation period is 14 days from receipt.

6.2. Important Exceptions to the Right of Cancellation (Does Not Apply to
     Restaurants and Fresh Produce)

You expressly agree that the right of cancellation stipulated in Section 6.1
**does not apply** in the following cases, pursuant to Section 312g of the
German Civil Code (BGB):

First: **Perishable Foodstuffs (Restaurants, Meat, Fresh Vegetables):**
- All cooked meals and prepared foods from restaurants.
- Fresh meat, fish, dairy products, fresh fruits and vegetables.
- Any food product with a short expiry date or requiring special refrigeration.
- **Legal Basis:** Section 312g (2) No. 2 BGB excludes "goods that spoil
  quickly or whose expiration date would quickly pass".

Second: **Sealed Grocery Items That Have Been Opened:**
- Canned or packaged goods where the sealed packaging has been opened (even
  if non-food, such as cosmetics).
- **Legal Basis:** Section 312g (2) No. 3 BGB excludes "sealed goods not
  suitable for return for health or hygiene reasons if unsealed".

Third: **Custom-Made Products:**
- Any product prepared or manufactured specifically according to your personal
  specifications.

**Legal Summary for the Customer:**
- **Restaurant Product (Pizza, Sushi, Burger):** Cannot be cancelled or
  returned after receipt under any circumstances (even if cold or not to your
  taste). Compensation is limited strictly to cases of missing or incorrect
  items (Section 6.3).
- **Supermarket Product (Milk carton, Rice bag):** Can be returned within
  14 days provided it is **sealed and unopened**. If you open the milk carton,
  the right of return is void.
- **Fresh Fruits and Vegetables:** Can never be returned (as they are
  perishable by nature).

6.3. Warranty and Compensation for Shortages or Errors

- **Food Quality:** The Vendor is solely responsible for the quality and
  safety of items and their compliance with specifications. The Platform is
  not responsible for your dissatisfaction with taste or food temperature.
- **Shortages or Errors:** In the event of a proven shortage in the order or
  receipt of a completely incorrect product, you may submit a complaint within
  60 minutes of receipt, supported by clear photographic evidence.
- **Compensation Mechanism:** Upon review and verification, compensation for
  the disputed amount - if proven valid - shall be exclusively via:
  - Crediting the amount to your **Nebo Go Wallet** within the App.
  - Or refunding to the original payment method within 14 business days
    (at the Platform's discretion).


             SECTION SEVEN: ELECTRONIC WALLET AND REFUND POLICY

7.1. Wallet Creation

Upon creating your Nebo Go account, a digital electronic wallet linked to your
account ("Wallet") is automatically created. Wallet credit cannot be converted
to cash or transferred to any external bank account.

7.2. Instances of Wallet Credit Addition

Credit is added to your Wallet in the following instances:
- **Cancellation Before Preparation:** If you cancel an electronically paid
  order while it is in "Pending" status, you may choose to receive an instant
  refund to your Wallet, or to the original payment method within 14 business
  days.
- **Compensation for Shortage or Error:** If your complaint regarding a missing
  or incorrect item is approved, the compensation value will be credited to
  your Wallet.
- **Promotional Credit:** The Platform may grant you promotional credit
  (coupons) added to your Wallet, subject to specific usage terms.

7.3. Using Wallet Credit

You may use your Wallet credit to pay for any future order on the Nebo Go
Platform. The amount is automatically deducted from your Wallet balance upon
order completion. If the Wallet balance is insufficient to cover the full
order value, you must pay the difference using another payment method.

7.4. Credit Validity

Credit resulting from compensations does not expire as long as your account
remains active. Promotional credit (coupons) is subject to a specific expiry
date communicated to you upon addition.

7.5. Account Closure and Wallet Balance

If you request permanent deletion of your account, any remaining Wallet
balance (excluding cash credit from direct top-up by you, which is currently
unavailable) will be forfeited and will not be redeemable for cash. It is
recommended to utilize your full balance before requesting account deletion.


                    SECTION EIGHT: RATINGS AND REVIEWS

8.1. You are entitled to rate both the Vendor and the delivery driver based
on your service experience. You agree that your ratings will be truthful and
based on a genuine, direct experience.

8.2. The Platform complies with the German Digital Services Act (DDG). We
reserve the absolute right, at our sole discretion, to delete or hide any
comment or rating that contains:
- Offensive language, personal insults, or defamation.
- Incitement to hatred or racial discrimination.
- Personal information of a third party (e.g., phone numbers).
- Advertising content or external links.
This action may be taken without any liability towards you or prior notice.


              SECTION NINE: SPECIAL CONDITIONS FOR DRIVERS (SEPARATE)

Drivers registered on the Platform are subject to a separate employment
contract and privacy policy. For the purposes of these Customer Terms, it is
sufficient to affirm that the driver:
- Is insured in accordance with German labor laws.
- Is contractually obligated to maintain the confidentiality of customer data
  (especially phone numbers and addresses) and to use it solely for the
  execution of the delivery task.


                  SECTION TEN: LIMITATION OF LIABILITY

10.1. Platform Liability

Nebo Go assumes full liability for damages incurred by you only in cases of
**gross negligence** or **willful intent** on the part of our legal
representatives or employees. In cases of simple negligence, the Platform
assumes no liability.

10.2. Health and Quality Disclaimer

To the fullest extent permitted by German law, we expressly disclaim any
liability for direct or indirect, material or immaterial damages arising
from your consumption of products purchased via the App, including but not
limited to:
- Food poisoning.
- Allergies or allergic reactions.
- Physical injuries.
- Dissatisfaction with taste or quality.

**The sole party responsible for food safety and quality is the Vendor.**

10.3. Cap on Damages

In cases of simple negligence relating to non-essential obligations, our
maximum financial liability is limited to the value of the order in dispute.


            SECTION ELEVEN: DATA PROTECTION AND PRIVACY

We strictly comply with the European General Data Protection Regulation (GDPR)
and the German Federal Data Protection Act (BDSG). Our Privacy Policy informs
you about how we collect, process, and store your personal data. By using the
App, you acknowledge that you have read the Privacy Policy and agree to its
terms. You can view the full Privacy Policy via the link at the bottom of
the App.


          SECTION TWELVE: GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Terms and Conditions are governed by and construed in accordance
with the laws of the **Federal Republic of Germany**, expressly excluding the
UN Convention on Contracts for the International Sale of Goods (CISG).

12.2. **Place of Jurisdiction:** The competent courts in **Fürth**, Bavaria,
shall have exclusive jurisdiction over any dispute arising from or in
connection with this agreement, unless mandatory consumer protection law
specifies a different venue.

12.3. **Modification of Terms:** The Platform reserves the right to modify
these Terms at any time to reflect changes in law or business model. You will
be notified of material changes via the registered email address or a pop-up
notification within the App 30 days prior to their effectiveness. Your
continued use of the Services after the modification constitutes implied
acceptance of the new terms.


                     SECTION THIRTEEN: FINAL PROVISIONS

13.1. Should any provision of these Terms be or become invalid or unenforceable,
this shall not affect the validity and enforceability of the remaining
provisions. The invalid provision shall be replaced by a provision that comes
closest to the economic and legal purpose of the original provision.

13.2. The failure of the Platform to enforce any right under these Terms at
any time shall not constitute a waiver of that right in the future.

13.3. The User may not assign any rights or obligations under these Terms to
a third party without the prior written consent of the Platform.
